Are electronic signatures legal in Pakistan?
Yes, for most everyday contracts. Pakistan’s Electronic Transactions Ordinance, 2002 (ETO) gives electronic documents and electronic signatures legal recognition, with a short list of exceptions. This guide explains what the law says and what it means when you send a contract for signature online.
What the Electronic Transactions Ordinance says
Section 3 of the ETO says that a document, record, communication or transaction cannot be denied legal recognition, admissibility, validity, proof or enforceability just because it is in electronic form.
Section 7 deals with signatures: where the law requires a signature, an electronic signature can meet that requirement. The Ordinance also defines an “advanced electronic signature”, one certified by a certification service provider accredited under the Ordinance, which carries extra evidential weight.
Documents the Ordinance does not cover
Section 31 lists documents the Ordinance does not apply to. For these, the ETO’s recognition of electronic form and electronic signatures does not help you, so use the traditional signed paper process unless the government has extended the Ordinance to them by notification:
- Negotiable instruments, such as cheques and promissory notes (section 13 of the Negotiable Instruments Act, 1881)
- Powers of attorney (Powers of Attorney Act, 1882)
- Trusts, other than constructive, implied and resulting trusts
- Wills and other testamentary dispositions
- Contracts for the sale or conveyance of immovable property, or any interest in it
What this means for everyday business documents
Most of what small businesses and freelancers sign day to day falls outside those exclusions: non-disclosure agreements, service and consulting agreements, employment offer letters, quotations and statements of work, and consent forms.
What matters in a dispute is being able to show who signed, that they meant to sign, and that the document has not changed since. That is what an electronic signature service records.
What PactPen records for every signature
PactPen provides ordinary electronic signatures. It is not an accredited certification service provider, so it does not issue “advanced electronic signatures” in the ETO’s sense. Each signed document comes with evidence of how it was signed:
- The signer’s consent to sign electronically, recorded before they can sign
- The time of each step, and the IP address and browser used to sign
- A cryptographic hash of the document, so any later change can be detected
- A certificate of completion attached to the signed PDF
- A full audit trail the sender can export
Practical tips
- Check the document type against the Section 31 list before signing it electronically.
- Use the signer’s own email address, so the link reaches only them.
- Keep the signed PDF with its certificate of completion. It is your record.
- For high-value or regulated agreements, ask a lawyer whether an advanced electronic signature or wet-ink signature is expected.
